1. Introduction
    • The behindeveryboss.com website is owned and operated by Behind Every Boss Ltd. We are registered in England and Wales under company number 09513105 with our registered office at 1 Harbour House, Shoreham-by-Sea, West Sussex, BN43 5HZ.
    • These Terms and Conditions constitute a legally binding agreement between Behind Every Boss Limited and the Venue.
    • Definitions in these Terms and Conditions are as follows:

“Booking Enquiry” – a Booking Enquiry has been made by a Client when they contact the venue expressing an interest in using the venue through either the online form on the Site, by contacting a member of the team directly at the Venue by email, telephone or social media and saying that they found the venue on the Site, or through contacting one of our Team here who will then introduce the Client by email or telephone.

“Venue” – the Venue to be listed including the person authorised to advertise the venue on Behind Every Boss.

“Client” – the person using the Site and making Booking Enquiries.

“Site” – www.behindeveryboss.com

 

  1. Venue Listing

(2.1)     Each Venue has its own dedicated page with photo gallery, venue details and direct contact details. You will be able to log in to your page to update details, special offers etc. Please ensure these details are kept up to date.

(2.2)         There is a link on the Venue Listing to Google Maps. Behind Every Boss is not responsible for the functioning, accuracy or otherwise of Google Maps.

(2.3)         Every Client who has made a confirmed booking will be asked to leave a review of the Venue and their experience. Please note that we do not have the ability to verify the accuracy of these reviews and we are not responsible for their content in any way. Reviews are submitted to Behind Every Boss before publication, and reviews that are not constructive, or are inappropriate, will not published. If your Venue receives multiple bad reviews, we may be forced to terminate this contract, as it is imperative that we only feature Venues that we can trust to deliver a quality service.

 

  1. Commission

(3.1)         The following commission rates apply:

  • 8% on standard venues
  • 4% on any venues where the profit made on venue hire goes directly to a charity

For further bookings made by the same Client within 18 months of a Booking Enquiry:

  • 4% on standard venues
  • 2% on any venues where the profit made on venue hire goes directly to a charity

(3.2)         Commission will be calculated on the basis of the total payment from the Client to the Venue before V.A.T.

(3.3)          Commission is payable by a Venue when a Booking Enquiry has been generated by Behind Every Boss and confirmed by the Venue. It is the responsibility of the Venue to notify us in writing (including email) within 14 days of when a Booking Enquiry is confirmed and to provide a copy of the final invoice submitted to the Client. If the Venue fails to do so, Behind Every Boss reserves the right to charge a commission in respect of the undisclosed contract at twice/three times its standard rate in order to compensate Behind Every Boss for its additional management time in dealing with such a situation.

(3.4)         Commission will be paid from the Venue’s normal reservation fee, it must not be added to the price paid by the Client.

(3.5)         Invoices issued by Behind Every Boss must be paid within 14 days of their date. Unpaid invoices may be subject to the Late Payment of Commercial Debts Act 1998 (2002) and accordingly interest at a rate of 8% above the Bank of England base rate from time to time may be payable on all outstanding balances.

(3.6)         No commission is due if the event is cancelled, unless the Client is required to pay the Venue in full/part regardless of cancellation.

(3.7)         If the Client defaults on payment after the event, commission to Behind Every Boss will still be due within the payment terms stated on the invoice.

(3.8)         If third party costs are incurred by Behind Every Boss such as debt collection or legal costs to enforce its rights resulting from the Venue’s breach of this contract, these costs will be reimbursed to Behind Every Boss by the Venue.

 

  1. Search Results

(4.1)         Behind Every Boss cannot guarantee that your listing will appear in any specific order in search results on the Site, as this will depend on search criteria used by the Client.

 

  1. Legal

(5.1)         If there is a change of ownership of a Venue it is the responsibility of the vendor to advise Behind Every Boss Ltd and ensure that the new owner is aware of these Terms and Conditions. Any outstanding commission payments due in respect of reservations made by Clients before the date of sale of the Venue will remain the responsibility of the original owner (vendor) unless and until these are aid by the new owner.

(5.2)         We will always try to keep the Site secure, safe and functioning well. In operating the Site, Behind Every Boss relies upon the provision of facilities by external suppliers such as cloud storage suppliers and ISPs. As a result of technical issues, and, on occasion, circumstances beyond our control, the operation of and access to the Site may at times be unavailable. We shall not be liable for any direct or consequential losses resulting from your use or your inability to use the Site in such circumstances, including without limitation any loss of data, loss of profits, loss of goodwill, corruption of the Venue’s websites or software, or waste management time. If, for any reason, Behind Every Boss is found liable for any matters in connection with the services provided by it to a venue then its liability shall not, in any circumstances, exceed a sum equal to the aggregate amount of commissions received by it from the relevant Venue during the previous six/twelve months prior to the date of the act or omission giving rise to the relevant claim.

(5.3)         Any dispute or claim arising out of or in connection with these Terms and Conditions or their subject matter or formation (including non-contractual disputes or claims) will be governed by English law. Any dispute or claim arising out of or in connection with such contracts or their formation (including non-contractual disputes or claims) shall be subject to the exclusive jurisdiction of the courts of England and Wales.

(5.4)         From time to time, we may amend these terms and conditions to reflect changes in market conditions affecting our business, changes in technology, changes in payment methods, changes in relevant laws and changes in regulatory requirements and will publish these on the Site or otherwise.

(5.5)         This contract may be terminated by either party at any time. This does not affect any obligations of either party arising under or in respect of any contracts entered into prior to such termination.

(5.6)         Behind Every Boss shall act as an introducing agent only. All contracts and reservations shall be made directly between the Venue and Clients and Behind Every Boss shall not be liable in any way in respect of disputes between the Venue and its Clients arising out of contracts made as a result of the Client’s use of the Site.
